In short: Struxify B2B Quote & Agent is an assistance system for data preparation. The app suggests line items, quantities and product matches. It does not create binding orders and does not conclude contracts. Drafts are created by the merchant's active click or – only if the merchant has expressly enabled the optional autopilot – automatically for unambiguously recognised requests. The merchant reviews every draft before sending or completing it and is responsible for it. The optional merchant verification sets tag, VAT number and tax exemption in the Shopify customer account according to the merchant's settings (section 2.7).

1. Scope and contracting party

These terms apply to the use of the Shopify app “Struxify B2B Quote & Agent” (including email inbox, storefront chat, quick order and merchant verification) by merchants (“merchant”). The provider and contracting party is Dávid-Dennis Warning (Struxify), Bürgermeister-Steenbock-Straße 21 a, 24558 Henstedt-Ulzburg, Germany (“provider”). The app is intended exclusively for businesses (entrepreneurs within the meaning of § 14 of the German Civil Code, BGB); contracts with consumers (§ 13 BGB) are excluded. Shopify's terms for the app ecosystem apply in addition.

2. Description of the service: assistance system

  1. The app is an assistance system for data preparation. It evaluates customer requests (free text, email, chat) using artificial intelligence (AI) and suggests line items, quantities, units and matches to products in the merchant's catalogue. Every line receives a confidence score (0–100); scores below 90 are flagged as a warning.
  2. The app creates quotes as draft orders in Shopify, does not trigger payments and sends quotes only on the merchant's active click (“Als Angebot senden” – send as quote). A draft only becomes an order if the customer expressly accepts the quote (acceptance page via link/QR code or email with a valid check code) and the merchant has selected the option “Bestellung auf Rechnung anlegen” (create order on invoice) in the settings; the order is then created with payment pending. Instead, the merchant can choose a redirect to the checkout or merely recording the acceptance.
  3. By default a draft is only created on the merchant's active click (“Angebot erstellen” – create quote); requests from email and chat are presented for review.
  4. Optional autopilot: if the merchant expressly enables the autopilot in the settings, the app automatically creates a draft for requests from email and chat, provided that every line has an available product and reaches at least the confidence chosen by the merchant (90 or 95). Otherwise the request is presented for review. The merchant also reviews automatically created drafts before sending or completing them (section 3); customers do not receive a payment link beforehand. The autopilot can be switched off at any time. If the merchant has enabled the “free sample” function, the app automatically adds an item from the slow-mover pool with a 100 % discount (marked “Gratis-Muster”) to drafts from the configured order value. The merchant reviews this line like any other before sending (section 3) and can remove it.
  5. The app's suggestions are non-binding. The app does not owe any particular result, in particular no error-free recognition or matching.
  6. Discount negotiation in the chat: if a customer asks for a discount in the storefront chat, the assistant states a counter-offer within the limits set by the merchant (maximum discount, target margin, free sample). This function is disabled by default and can be switched on in the settings. The stated conditions are declarations of the merchant towards its customer; they only become binding with the quote reviewed by the merchant (section 3). The merchant checks the limits before activating the function and is responsible for the resulting commitments.
  7. Merchant verification: if the merchant enables the module, the app checks a customer's VAT number against the EU VIES system and – automatically where the merchant has so configured – sets tag, VAT number, tax exemption and company assignment in the Shopify customer account. Whether the requirements for a tax-exempt intra-community supply are met in the individual case (§ 6a UStG, documentary evidence) is assessed solely by the merchant; the app does not replace this assessment. The merchant can disable automatic approval and reverse any approval.

3. Limits of AI – the merchant's duty to review

  1. AI systems can make mistakes. These include in particular invented or misunderstood details (“hallucinations”), wrongly recognised quantities or units, wrong matches of SKUs or variants, and deviating prices (e.g. due to B2B price lists, discounts, counter-offers stated by the assistant or outdated catalogue data).
  2. The merchant is obliged to review every draft completely before creating it and before sending it to customers – in particular products, SKUs, variants, quantities, units, prices and customer assignment. The merchant must confirm lines with a warning individually.
  3. By clicking “Angebot erstellen” (create quote) or “Als Angebot senden” (send as quote) – or by enabling the autopilot for the drafts created by it – the merchant adopts the content as its own and assumes sole responsibility for the accuracy of the data and for all declarations made to its customers. This also applies to orders resulting from a customer's acceptance of a sent quote; the check code merely ensures that the accepted content corresponds to the current draft.

4. Liability

  1. The provider is not liable for damage caused by the fact that data suggested by the app – in particular due to AI inaccuracies, hallucinations, wrong quantities or wrong SKU/product matching – is incorrect and has been adopted by the merchant. Review and approval are the sole responsibility of the merchant (section 3).
  2. Otherwise, in cases of slight negligence the provider is only liable for the breach of an essential contractual obligation (cardinal obligation), limited to the foreseeable damage typical for this type of contract and to no more than the fees paid by the merchant for the app in the twelve months before the damaging event. Liability for indirect damage and loss of profit is excluded in cases of slight negligence.
  3. The above limitations do not apply in cases of intent and gross negligence, injury to life, body or health, fraudulently concealed defects, the assumption of a guarantee, or mandatory liability under the German Product Liability Act.

5. Indemnification

The merchant indemnifies the provider against claims by third parties (in particular the merchant's customers) arising from the merchant having used data prepared by the app without sufficient review, unless the provider is responsible under section 4.3.

6. Availability, updates and third-party services

The app uses third-party services (including Shopify, Google Gemini, email delivery). Uninterrupted availability is not promised. The provider is liable for outages or changes of these services only in accordance with section 4. The provider keeps the app functional during the term of the contract and provides security and functional updates; the provider informs about material changes in the app.

7. Data processing

Customer requests are processed to create the suggestions and are transmitted to the AI service for this purpose. Where the provider processes personal data of the merchant's customers, this is done on behalf of and on the instructions of the merchant (Art. 28 GDPR). The data processing agreement (DPA) applies, which is concluded in electronic form by agreeing to these terms (Art. 28(9) GDPR). The privacy policy applies in addition. The merchant is responsible for informing its customers about the use of the app (e.g. in its own privacy policy). The merchant enters the link to its privacy policy in the chat, quick order and merchant verification blocks in the theme editor.

8. Plans, trial period and billing

  1. Use of the app requires a subscription. Current plans per 30 days: Starter EUR/USD 29 (100 requests), Pro EUR/USD 79 (500 requests, 1,000 customer messages in the storefront chat), Business EUR/USD 149 (2,000 requests, 1,500 customer messages in the storefront chat). The exact scope of each plan is shown on the page “Abo & Kontingent” (subscription & quota) in the app.
  2. Every plan starts with a free trial period of 14 days. If the subscription is ended or the app uninstalled during the trial period, no costs are incurred.
  3. Early-access offer: the first 50 people who, before the app launches in the Shopify App Store, sign up for the waitlist on b2b.struxify.io and confirm their sign-up by email receive the Pro plan for the first three billing periods after the free trial period at the price of the Starter plan (29 instead of 79 EUR or USD per period). The order of confirmation is decisive. The prerequisite is that the store installs the app within 60 days of the launch notification and chooses Pro; the allocation is made via the email or store address given when signing up. The offer price appears in Shopify as a time-limited discount and is confirmed there. Thereafter the regular Pro price applies. Termination under section 9 remains possible at any time during the offer. The offer price applies once per store, is not transferable and cannot be paid out in cash.
  4. Billing takes place exclusively through Shopify (Shopify Billing API) with the merchant's Shopify invoice, in euros if the store is billed in euros, otherwise in US dollars (the same amount in each case), and every 30 days. The provider does not receive or store any payment data of the merchant. The provider is a small business within the meaning of § 19 of the German VAT Act (UStG) and does not charge VAT; Shopify's billing terms apply in addition.
  5. Quota: a request is any customer request the app records as a case – whether pasted, forwarded by email, coming from the storefront chat or from the quick order form (there without AI evaluation). The quota is provided anew at the beginning of each 30-day period; unused requests expire at the end of the period. Once the quota is used up, new requests are not evaluated until the next period or a plan change. The storefront chat has its own quota of customer messages per period (see plan details); once it is reached, the chat refers visitors to the merchant. AI wording for discount replies is limited per period (Starter 100, Pro 500, Business 1,000); after that the merchant receives the suggestion without AI. To protect against abuse, daily limits for chat, email inbox and quick order apply in addition, as well as a technical cap on AI computing per period (lower during the free trial) which is not reached before the stated quantities under normal use. There are no charges beyond the plan price; once a limit is reached, the affected AI feature pauses until the next period.
  6. A plan change is possible at any time on the page “Abo & Kontingent” and takes effect immediately; Shopify handles the proration. Price changes only apply to future billing periods and must be confirmed by the merchant in Shopify.

9. Term, termination, data export and switching providers

  1. The contract runs for an indefinite period with no minimum term. The merchant can terminate at any time – on the page “Abo & Kontingent” in the app or by uninstalling the app in Shopify. Termination takes effect immediately; Shopify credits the unused part of the current billing period pro rata. On uninstallation the store's data is deleted (see privacy policy). The right of both parties to terminate for good cause remains unaffected.
  2. Data export and switching (Regulation (EU) 2023/2854 – Data Act, Art. 23 et seq.): the merchant may at any time request to switch with its data to another provider or to its own environment, or to have its data erased. A message in text form to hello@struxify.io is sufficient; no notice period has to be observed. The provider makes the exportable data available without undue delay, at the latest within 30 calendar days of the request, in a structured, commonly used and machine-readable format (JSON or CSV), supports the switch to a reasonable extent, keeps the app available unchanged until the switch is completed and maintains data security throughout. The export file provided remains retrievable for at least 30 calendar days and is deleted thereafter.
  3. Exportable data is all data the merchant has brought in or that has been created through its use: settings, team members with distribution and assignments, learned matches (wording → product), requests with recognised line items, status and acceptance data, follow-up questions and replies on quotes, chat histories, slow-mover data and verification applications – in each case as far as still available under the retention periods of the privacy policy. Internal data of the provider whose disclosure would endanger security or trade secrets is not exported (access keys, server logs, truncated IP hashes, internal identifiers). Product catalogue, customers, drafts and orders are held in the merchant's Shopify account independently of the app and remain there.
  4. The export must be requested before uninstallation, because the provider deletes the store's data on uninstallation in accordance with Shopify's requirements (section 9.1). No fees are charged for export or switching. Information on the location of the infrastructure, the service providers used and the protection against access from third countries can be found in the privacy policy (section 5) and in the DPA (sections 5 and 6).

10. AI transparency (Regulation (EU) 2024/1689, Art. 50)

The app uses an AI language model (Google Gemini). AI-generated drafts are marked as such in the app. The storefront chat informs visitors that they are writing with an AI assistant. The merchant may adapt this notice in the theme editor but may not remove it or change it in such a way that the use of AI is no longer recognisable.

11. Consent and changes

Use of the app requires express consent to these terms in the app. The provider may change the terms with effect for the future; changed terms must be confirmed again before further use.

12. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is, as far as legally permissible, the provider's registered place of business. Should any provision be invalid, the validity of the remaining provisions is not affected. Questions about these terms: hello@struxify.io. Provider details: legal notice.
